Part A
General Terms
Introduction
The website tolet.city, including all subdomains, mobile applications, and APIs (collectively, the "Platform") is owned, hosted, and operated by Tolet India ("Tolet", "we", "us"), a company incorporated in India with its registered office in Chennai, Tamil Nadu.
Tolet.City is an AI-powered rental platform connecting Tenants, Landlords, and Channel Partners (Brokers). These Terms & Conditions, together with our Privacy Policy, form a legally binding agreement (the "Agreement") between Tolet and every User of the Platform.
Tolet may amend these Terms at any time. Modifications take effect immediately upon posting. Your continued use of the Platform constitutes acceptance of the updated Terms.
Definitions
- User: Any individual or legal entity accessing the Platform as a Tenant, Landlord, Channel Partner, or Visitor.
- Tenant: A User who searches for, enquires about, or rents a property through the Platform.
- Landlord: A User who lists one or more properties for rent or lease on the Platform.
- Channel Partner or Broker: A RERA-registered real estate broker, agent, or channel partner who has enrolled in the Tolet.City Channel Partner Programme to source and manage leads through the Platform.
- Listing: Any property advertisement including description, photographs, pricing, and associated details submitted by a Landlord or Channel Partner.
- Services: All features offered on the Platform, including AI property matching, automated rent collection, e-signed agreements, tenant/landlord screening, property valuation, Smart Pricing Assist, lead generation, and content moderation.
- Lead: The contact details of a User who has consented to be contacted regarding a property advertised on the Platform.
- RERA: The Real Estate (Regulation and Development) Act, 2016, as amended, along with applicable state rules.
- Applicable Law: All laws, regulations, rules, guidelines, and judicial orders in force in India, including the IT Act 2000, Consumer Protection Act 2019, RERA, and applicable data protection laws.
Eligibility and Account Registration
To use the Platform, you must be at least 18 years of age and legally capable of entering into a binding contract under Indian law. Minors may access the Platform only under adult supervision and with parental consent.
First-time visitors may browse the Platform without an account. To access specific listings, submit enquiries, list properties, or use paid Services, you must register. By registering, you agree to:
- Provide accurate, complete, and up-to-date information.
- Keep your account credentials confidential.
- Notify Tolet immediately of any unauthorised access or security breach.
- Accept full responsibility for all activities under your account.
Tolet may verify your identity and reserves the right to reject registrations or deactivate accounts at its sole discretion, including where broker activity is detected on non-broker accounts.
AI-Powered Services
Tolet.City deploys proprietary artificial intelligence to deliver the following:
- AI Matched Property: Matching Tenants with suitable properties based on stated preferences and browsing behaviour.
- Tenant & Landlord Screening: Algorithm-based checks to identify and exclude broker activity from tenant-facing listings.
- Automated Rent Collection: Facilitating rental payment transfers via authorised payment gateways.
- E-Signed Rental Agreements: Enabling digital execution of agreements in accordance with Applicable Law.
- Smart Pricing Assist: AI-driven rent recommendations based on market data across 4M+ data points.
- Content Moderation: AI tools to detect and remove listings, messages, or content violating Platform terms.
AI-powered features are provided on a best-effort basis. Tolet does not guarantee the accuracy or completeness of any AI-generated output. Users must independently verify all information before making rental, financial, or legal decisions.
Listings and Advertisements
By submitting a Listing, the Landlord or Channel Partner represents and warrants that:
- They hold the legal right or authorisation from the property owner to list and advertise the property.
- All information, photographs, dimensions, and pricing are accurate and not misleading.
- If subject to RERA, all requisite approvals, licences, and permits have been obtained.
- All material information including title, ownership, RERA registration, and encumbrances has been disclosed.
Tolet does not independently verify Listing accuracy. The 'Verified' tag only confirms existence of the property as advertised; it is not a verification of ownership, documentation, area, or price.
Tolet reserves the right to remove or modify any Listing alleged to violate these Terms, without prior notice.
Payment Terms
All payments for Tolet.City Services are on a 100% advance basis. Unless otherwise stated:
- Fees paid are non-refundable once a Service is activated.
- Refunds, if any, are at the sole discretion of Tolet.
- Cash payments for any subscription or service are strictly prohibited.
- Tolet does not store credit/debit card data. All transactions are processed through PCI-DSS compliant third-party gateways.
- Subscription validity periods cannot be extended. Unutilised services lapse at expiry.
For automated rent collection, Tolet acts solely as a payment intermediary and is not a party to the underlying tenancy agreement. Tolet is not a bank and does not offer banking or financial services.
General Prohibited Conduct
All Users agree not to:
- Post false, misleading, or fraudulent Listings or information.
- Impersonate any person or entity, or falsely claim affiliation with Tolet.
- Use bots, crawlers, scrapers, or automated tools to access, extract, or download Platform content without prior written consent.
- Attempt unauthorised access to the Platform, its servers, or connected systems.
- Upload or distribute content that is defamatory, obscene, unlawful, or harmful to minors.
- Damage, disable, or impair the Platform's operation or interfere with other Users.
- Copy, resell, or exploit Platform content or data for commercial purposes without Tolet's written consent.
- Circumvent any technological protection measures employed by Tolet.
- Engage in spam, phishing, or unsolicited bulk communications.
- Violate RERA, the IT Act 2000, or any Applicable Law.
Violations may result in immediate account suspension, termination, and/or legal action.
Intellectual Property Rights
All logos, trademarks, AI models, software, content, and other intellectual property on the Platform are the exclusive property of Tolet or used under licence. Access to the Platform does not grant any User a licence to use Tolet's IP.
Users retain ownership of content they submit. By submitting, you grant Tolet a royalty-free, irrevocable, worldwide, sublicensable licence to use, reproduce, modify, and display such content to operate, improve, and promote the Platform.
Privacy and Personal Data
Tolet's Privacy Policy governs the use of your personal data and forms part of this Agreement. By using the Platform, you consent to the collection, storage, processing, and use of your data as described therein.
By enquiring about or expressing interest in a Listing, you authorise Tolet to:
- Share your profile and contact details with the relevant Landlord, Channel Partner, or service provider.
- Contact you via call, SMS, email, or WhatsApp, notwithstanding NDNC/DNC/NCPR registration.
- Use your data to match you with similar properties and send relevant communications.
Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Tolet does not warrant that the Platform will be uninterrupted or error-free, that Listings are accurate, or that AI-generated outputs will meet User expectations. Users must independently verify all property details and legal compliance.
Limitation of Liability
Tolet's total aggregate liability under this Agreement is limited to the fees actually paid by the User to Tolet for the specific Service giving rise to the claim. Tolet shall not be liable for any indirect, incidental, special, punitive, or consequential damages.
Indemnification
You agree to indemnify, defend, and hold harmless Tolet, its officers, directors, employees, affiliates, and partners against all claims, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Platform or breach of these Terms.
- Content you submit or transmit through the Platform.
- Infringement of third-party rights, including intellectual property.
- Any fraudulent or negligent act causing loss to Tolet or other Users.
Termination
Tolet may suspend or terminate your access at any time and without notice if it determines, in its sole discretion, that you have violated these Terms, Applicable Law, or engaged in conduct harmful to Tolet, Users, or third parties.
Arbitration and Dispute Resolution
Any dispute between a User and Tolet arising from or related to these Terms shall be referred to a sole, independent, and neutral Arbitrator agreed upon by both parties. Arbitration shall be conducted under the Arbitration and Conciliation Act, 1996, with Chennai, Tamil Nadu as the seat and venue. The Arbitrator's decision shall be final and binding.
Governing Law and Jurisdiction
These Terms are governed by the laws of India. The courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over all disputes arising from or relating to these Terms or the Platform.
Severability, Waiver, and Amendment
If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary, and remaining provisions shall remain in full force. Tolet's failure to enforce any right does not constitute a waiver. Tolet may amend these Terms at any time by posting updates on the Platform; continued use constitutes acceptance.
Part B
Terms for Tenants
These terms apply specifically to individuals or entities accessing Tolet.City for the purpose of searching, enquiring about, or renting a property ("Tenant"). All General Terms in Part A also apply.
Tenant Eligibility and Registration
A Tenant must be 18 years of age or above. By registering as a Tenant, you confirm that you are accessing the Platform for genuine residential or commercial rental purposes and not for resale, brokerage, or any commercial gain unrelated to your own occupation.
Tolet employs AI-based detection to identify and exclude broker activity from Tenant-facing listings. If your account is identified as that of a broker or agent, Tolet reserves the right to restrict, suspend, or permanently deactivate it without notice.
Tenant Rights and Responsibilities
As a Tenant, you are entitled to:
- Search and enquire about available Listings on the Platform.
- Access AI-matched property recommendations based on your stated preferences.
- Connect directly with verified Landlords (Direct Owner listings) or RERA-verified Channel Partners.
- Execute E-Signed Rental Agreements through the Platform.
- Make rent payments, security deposits, and maintenance payments via the Platform's automated rent collection feature.
- Raise grievances or appeal Platform decisions through the grievance mechanism.
As a Tenant, you agree to:
- Provide accurate personal and financial information during registration and any application process.
- Not share your account credentials or authorise any third party, including a broker, to act on your behalf through your account without disclosing such arrangement.
- Pay rent, security deposits, and other amounts through the Platform only, where such payment channels are offered, and not circumvent them to avoid Platform fees.
- Comply with all obligations under the rental agreement executed via the Platform.
- Not use the Platform to generate, aggregate, or redistribute property listings or data for any commercial purpose.
- Independently verify all property details, ownership documents, and legal compliance before signing any agreement or paying any deposit.
Tenant Payment Terms
Rent payments, security deposits, and maintenance charges made through the Platform are processed via authorised third-party payment gateways. Tolet acts as a payment intermediary only and is not liable for disputes between you and the Landlord regarding amounts, deductions, or refunds.
Tolet will refund rent payments to the original payment method if it is unable to transfer the amount to the Landlord due to technical difficulties, within 15 working days. Users are advised not to make direct payments to the Landlord until a refund ID has been generated and communicated.
Tolet may require supporting documents (such as a rental agreement) before processing any payment and may delay, suspend, or reject a transaction if it suspects fraud or unauthorised activity.
Tenant Data and Communications
By expressing interest in a Listing, you authorise Tolet to share your contact details and profile with the relevant Landlord or Channel Partner. You consent to being contacted by Tolet and its partners via call, SMS, email, or WhatsApp, notwithstanding any DNC/NDNC/NCPR registration, until you expressly opt out.
Information posted publicly on your profile or in public areas of the Platform may be accessed by others. Do not post sensitive personal or financial information in public areas.
Tenant Disclaimer
Tolet does not endorse, recommend, or guarantee any Landlord, Channel Partner, or property listed on the Platform. The 'Verified' tag and AI matching do not constitute legal due diligence. Tenants are solely responsible for assessing properties, verifying ownership, and making independent enquiries before committing to any rental arrangement.
Tolet is not liable for any loss, damage, or dispute arising from your interactions with Landlords or Channel Partners, including disagreements over deposit deductions, property condition, or tenancy terms.
Part C
Terms for Landlords
These terms apply specifically to property owners or their authorised representatives who list properties on Tolet.City for rental or leasing purposes ("Landlord"). All General Terms in Part A also apply.
Landlord Listings and Representations
By submitting a Listing, you represent and warrant that:
- You are the legal owner of the property or hold a valid power of attorney or written authorisation from the owner to list and advertise the property.
- All information, photographs, dimensions, rental pricing, and property descriptions are accurate, current, and not misleading.
- The property is not subject to any undisclosed legal dispute, encumbrance, lien, or government acquisition.
- If the property is subject to RERA, all requisite registrations, approvals, and licences have been obtained from the relevant authority.
- You have obtained all necessary rights from photographers or other content owners for photographs and media submitted with the Listing.
Tolet may, at its sole discretion, require you to substantiate your ownership claims with supporting documents, including title deeds, NOCs, or a sworn affidavit. Tolet reserves the right to remove any Listing at any time without notice where it receives a complaint or has reason to believe that the Listing violates these Terms or Applicable Law.
Landlord Rights and Responsibilities
As a Landlord, you are entitled to:
- List your property on the Platform and reach thousands of verified Tenant enquiries.
- Access AI-powered tenant matching and screening tools to identify suitable Tenants.
- Receive rental payments through the Platform's automated rent collection feature.
- Execute E-Signed Rental Agreements with Tenants via the Platform.
- Access Smart Pricing Assist to optimise your rental pricing.
- Edit, update, or remove your Listing at any time during its active period.
As a Landlord, you agree to:
- Maintain the accuracy of your Listing at all times and update it promptly when the property is no longer available.
- Not list the same property across multiple accounts or as a different property type to game AI matching results.
- Not demand or accept any payment from Tenants outside the Platform's payment channels in circumvention of the Platform's rent collection feature.
- Comply with all applicable tenancy laws, including the Tamil Nadu Regulation of Rights and Responsibilities of Landlords and Tenants Act, 2017, and any other state-specific tenancy legislation.
- Disclose all material facts about the property, including pending disputes, assessments, or government notices.
- Not engage in discriminatory practices in the selection of Tenants on grounds of religion, caste, gender, nationality, or any other protected characteristic.
Landlord Payment Terms
Listing fees, if applicable, are payable in advance and are non-refundable once the Listing is activated. Tolet does not guarantee any specific number of enquiries, leads, or responses for any Listing.
Rental payments received by Tolet on your behalf will be disbursed to your registered bank account as per the agreed schedule, subject to any applicable service charges. Tolet shall not be liable for any delay in disbursement attributable to third-party payment processors or banking infrastructure.
Landlord Disclaimer
Tolet is a platform intermediary only. It does not act as your agent, property manager, or legal representative. Tolet does not guarantee the conduct, creditworthiness, or identity of Tenants, and all decisions regarding tenancy arrangements remain solely yours.
Tolet shall not be liable for any damage to your property, loss of rental income, or any dispute arising from the tenancy relationship, including eviction proceedings or deposit disputes.
Part D
Terms for Channel Partners (Brokers)
These terms apply specifically to RERA-registered real estate brokers, agents, and channel partners who have enrolled in the Tolet.City Channel Partner Programme ("Channel Partner" or "CP"). All General Terms in Part A also apply.
Channel Partner Eligibility and Enrolment
To join the Tolet.City Channel Partner Programme, you must:
- Hold a valid RERA registration in the relevant state and maintain it throughout your engagement with the Platform.
- Submit accurate RERA registration details, identity proof, and any other documentation requested by Tolet during onboarding.
- Agree to Tolet's Channel Partner Agreement, which supplements these Terms.
- Not be debarred, blacklisted, or under any investigation by RERA, any regulatory body, or court.
Tolet reserves the right to reject any enrolment application without providing reasons. Approval of enrolment is at Tolet's sole discretion.
Channel Partner Rights
As a Channel Partner, you are entitled to:
- Access the Channel Partner Dashboard to view, manage, and track leads assigned to you.
- Receive qualified, verified Tenant leads generated by the Platform.
- List properties on behalf of Landlords you are authorised to represent.
- Earn commission on successful closures as per the rates specified in your Channel Partner Agreement.
- Access Platform training materials, support resources, and performance analytics through your dashboard.
- Benefit from Tolet's AI-powered lead scoring, matching, and tenant screening tools.
Channel Partner Obligations
As a Channel Partner, you agree to:
- Maintain valid RERA registration at all times. Expiry or revocation of your RERA licence automatically suspends your Channel Partner access until renewal is confirmed.
- Only list properties for which you hold a written mandate or authorisation from the property owner. Tolet may require evidence of such authorisation at any time.
- Not represent a property under a name other than that of a duly authorised and engaged agent.
- Disclose to Tenants that you are acting as a Channel Partner of Tolet.City and are not an employee or direct representative of Tolet.
- Charge brokerage fees to Tenants or Landlords only through the Platform, at rates disclosed and agreed upon upfront. Off-Platform brokerage collection in circumvention of the Platform's payment system is prohibited.
- Comply with all Applicable Laws including RERA, data protection laws, and consumer protection regulations in all dealings with Tenants and Landlords.
- Protect the personal data of Leads provided by Tolet in strict accordance with Applicable Law. You may use Lead data solely for the purpose of facilitating the rental transaction for which the Lead was generated. You must not aggregate, sell, share, or use Lead data for any other purpose.
- Not engage in misleading, high-pressure, or deceptive sales tactics with Tenants or Landlords.
- Not register as a Tenant or Landlord on the Platform using your own account or a third-party account to access Tenant-only features.
- Maintain professional conduct and respond promptly to Tenant enquiries assigned to you.
Lead Management and CPL Campaigns
Tolet shall endeavour to deliver agreed numbers of Leads at the agreed cost per Lead (CPL) for any CPL marketing campaign. The following conditions apply:
- Tolet reserves the right to determine the channel, product, or medium used to generate Leads.
- Tolet reserves the right to pause or terminate any campaign upon completion of agreed Lead delivery or non-receipt of payment.
- If the same Lead is generated for the same project within 30 days of the first unique Lead generation date, the repeat Lead will be treated as a duplicate and will not be charged.
- Tolet does not guarantee or participate in the conversion of Leads into closed transactions. A Lead constitutes only the contact details of a User who has consented to be contacted.
- All advance payments for CPL campaigns are non-refundable.
- The Channel Partner is solely responsible for compliance with applicable data privacy law in respect of all Leads received.
- Tolet shall not be liable for any direct or indirect loss arising from the non-conversion of Leads or from any action taken by a Channel Partner in relation to a Lead.
Channel Partner Commission and Payments
Commission rates and payout structures are set out in the Channel Partner Agreement. The following general terms apply:
- Commission is payable only upon successful closure of a rental transaction as confirmed by both the Landlord and the Tenant through the Platform.
- Tolet reserves the right to withhold, defer, or claw back commissions where a closure is disputed, a transaction is reversed, or fraudulent conduct by the Channel Partner is detected.
- All commissions are paid to the bank account registered by the Channel Partner. Tolet shall not be responsible for delays attributable to banking or payment processing infrastructure.
- Channel Partners are responsible for all applicable taxes (including GST and TDS) on commissions earned through the Platform.
Channel Partner Code of Conduct
Channel Partners are ambassadors of the Tolet.City brand. You agree to:
- Present the Platform's features, pricing, and services accurately to Tenants and Landlords.
- Not disparage, misrepresent, or make unauthorised claims about Tolet.City or its technology.
- Not solicit Tenants or Landlords to transact outside the Platform to circumvent Platform fees.
- Report any suspected fraud, data breach, or misuse of the Platform promptly to legal@tolet.city.
Channel Partner Account Suspension and Termination
Tolet may suspend or terminate a Channel Partner's account, with immediate effect and without prior notice, in the event of:
- Expiry or revocation of RERA registration.
- Breach of any term of the Channel Partner Agreement or these Terms.
- Fraud, misrepresentation, or conduct likely to damage Tolet's reputation.
- Any investigation, action, or finding by RERA or any regulatory authority.
- Failure to meet minimum performance standards specified in the Channel Partner Agreement.
Upon termination, the Channel Partner's access to the Dashboard, Lead data, and all Platform features shall be revoked immediately. Any pending commissions may be withheld pending resolution of outstanding disputes.
